PLEASE READ THESE TERMS OF SERVICE CAREFULLY BEFORE PARTICIPATING IN THE PROGRAM. By enrolling in or participating in the Daytona Beach Entrepreneurial Center, LLC (“DBEC”, “Company”) Directory and DaytonaOnDemand platform (collectively, the “Program”), you signify your consent to these terms. If you do not agree, do not participate. Your participation in the Program is subject to the following terms and all applicable laws. By enrolling, you accept these Terms of Service in full and acknowledge that any other agreements or representations are superseded and of no force or effect.

1. The Program includes participation in the DBEC Consultant Directory and access to the DaytonaOnDemand.com platform, designed to connect local companies with experienced consultants through a structured, accessible system. As part of participation, you may receive a public-facing profile, booking calendar, promotional exposure, and related features. You acknowledge that the platform is in development and will continue to evolve over time, and that participation is in an early-stage, minimum viable format.

2. Participation requires a one-time, non-refundable investment of $250. This includes DBEC membership, directory listing, feature content, and promotional inclusion. All payments are non-refundable. No refunds will be issued under any circumstances, including voluntary withdrawal or removal from the Program.

3. Consultants will be compensated at a flat rate of $50 per completed hourly session facilitated through the platform.

All payments are processed through DBEC. Payment timing, structure, and logistics may evolve as systems are finalized. DBEC reserves the right to modify compensation structures with notice as the Program develops.

4. You acknowledge that you are participating as an independent contractor and not as an employee, partner, or agent of DBEC. You are solely responsible for your own taxes, expenses, and compliance with all applicable laws. DBEC facilitates introductions and access but does not control, direct, or assume responsibility for the services you provide or the outcomes of those services.

5. You agree to maintain a professional standard of care, respond to inquiries in a timely manner, and deliver value-driven consulting sessions. You further agree that sessions are intended for insight and guidance only, and not for direct selling or pitching. You agree not to solicit DBEC clients during participation or for a period of one (1) year following your exit from the Program.

6. You agree not to directly or indirectly solicit or provide services to DBEC-introduced clients outside of the Program for a period of one (1) year following your last engagement. You further agree not to replicate, recreate, or develop a competing platform, directory, or service model using knowledge, relationships, or insights gained through participation in the Program for a period of one (1) year. Both parties agree to refrain from any public or private communications that would disparage the other.

7. You agree to maintain the confidentiality of all client, consultant, and Program-related information.

8. This Agreement remains in effect for one (1) year from the date of enrollment. You may terminate participation at any time. No refunds will be issued. Payments will only be made for completed sessions, and no payments will be issued for booked but incomplete sessions.DBEC reserves the right to remove any participant at its sole discretion, without refund, particularly in cases where conduct may negatively impact the integrity of the Program.

9. Participation in the Program is an opportunity for visibility and promotion. DBEC makes no guarantees regarding bookings, revenue, client volume, or business outcomes.

10. THIS AGREEMENT SHALL BE GOVERNED BY AND CONSTRUED IN ACCORDANCE WITH THE LAWS OF THE STATE OF FLORIDA, WITH JURISDICTION IN VOLUSIA COUNTY. THE PREVAILING PARTY IN ANY ACTION SHALL BE ENTITLED TO RECOVER REASONABLE ATTORNEY’S FEES AND EXPENSES. These Terms of Service constitute the entire agreement between you and the Company. Any amendments must be made in writing. DBEC reserves the right to update these terms at any time, and your continued participation constitutes acceptance of those changes.

11. By participating, you acknowledge that all payments are non-refundable, that no legal or tax advice is being provided unless explicitly qualified, and that no guarantees or warranties have been made regarding your results.
